General Terms and Conditions (GTC)

1. Scope
These GTC apply to all offers, services and contractual relationships between APEX SOFTWARE SOLUTIONS GmbH, Luzernerstrasse 92, 6333 Hünenberg See, Email: info@apexss.ch ("Provider") and its customers ("Customer") in connection with web design, hosting, support and related services provided via deinfirmenauftritt.ch.
2. Offer and Contract Formation
Website service descriptions are non-binding invitations to place an order/request. A contract is formed once the Customer accepts an offer, the Provider confirms an order, or the Provider begins service performance at Customer request.
3. Services
Services include in particular fixed-price company websites, hosting, basic technical support, domain/email setup depending on package, paid changes/extensions and additional agreed services.
4. Packages
4.1 BUSINESS
Professional website according to the current offer, potentially on Provider domain structure, including hosting and basic technical support.
4.2 BUSINESS PLUS
Includes everything in BUSINESS plus own domain and one professional email address according to current offer.
4.3 Additional Services
Anything not explicitly included in the booked package is billed separately.
5. Customer Cooperation
The Customer must provide all required data, content, information, documents and approvals completely and in time. The Customer is responsible for legality and third-party rights of provided content.
6. Implementation and Deadlines
Finalization starts after successful payment and complete receipt of required materials. If all requirements are met, finalization is usually completed within 5 business days.
7. Content and AI-generated Images
If no own media is provided, the Provider may use AI-generated or licensed visuals. The Customer must review sensitive AI-generated content before approval.
8. Prices and Payment Terms
Applicable prices are those shown on website/offer/order confirmation at contract conclusion. All prices are in CHF. The Provider is currently not subject to VAT and reserves the right to charge statutory VAT if VAT liability arises in the future.
9. Term and Termination
Annual packages: minimum 12 months, auto-renewal unless terminated 30 days before term end. Monthly packages: open-ended with 30-day notice to month-end. In case of payment default, suspension and reactivation fee may apply.
10. No General Right of Withdrawal
To the extent legally permitted, there is no free withdrawal/cancellation right after contract conclusion.
11. Changes and Support
Technical issues within basic support are handled in regular business operations. Services outside basic support are billed separately.
12. Domains, Email, Third Parties
Setup depends on availability and third-party provider rules. No guarantee for permanent availability of specific domains or third-party services.
13. Rights and Usage
Customer retains rights to provided content. Upon full payment, Customer receives agreed usage rights for created website/content. Provider retains rights to systems/templates/frameworks/reusable components unless agreed otherwise in writing.
14. References
Provider may use completed projects as references. Customer may object in writing for justified reasons.
15. Warranty
Services are provided professionally. Customer must promptly review and report defects/corrections. No warranty for customer-provided content, legal admissibility of customer content, specific SEO rankings, lead/revenue outcomes, or uninterrupted third-party services.
16. Liability
Liability is limited/excluded to the extent legally permissible, especially for indirect and consequential damages. Mandatory statutory provisions remain reserved.
17. Data Protection
Personal data is processed under applicable Swiss data protection law. See separate privacy policy for details.
18. Suspension and Extraordinary Termination
Provider may suspend services or terminate without notice in case of payment default, unlawful content, third-party rights violations, unreasonable cooperation, or material contractual breach.
19. Changes to GTC
Provider may amend these GTC where objectively justified.
20. Severability
If any provision is invalid/unenforceable, remaining provisions remain unaffected.
21. Applicable Law and Jurisdiction
Exclusive Swiss substantive law applies. Place of jurisdiction is, where legally permitted, the Provider's registered seat.
